Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by AIXILCOILS ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

AIXILCOILS provides software development services including but not limited to:

• Business website design and development
• Web application development
• Mobile application development (iOS and Android)
• Desktop application development
• Enterprise system development and integration
• Software maintenance and support

3. Project Agreements

Each project will be governed by a separate agreement that outlines the specific scope, timeline, deliverables, and payment terms. These project agreements supplement but do not replace these Terms of Service.

4. Payment Terms

• Payment schedules will be defined in individual project agreements
• Invoices are due within 14 days of receipt unless otherwise agreed
• Late payments may incur additional fees
• Work may be paused on accounts with overdue balances

Refund & Cancellation Policy

• If you cancel before work begins, any deposits paid will be refunded in full within 14 business days.
• If you cancel after work has started, payment is due for all work completed to date. No refund is given for completed milestones.
• If we fail to deliver the agreed scope within a reasonable timeframe (as defined in the project agreement), you may request a partial refund proportional to the undelivered work.

5. Intellectual Property

Client Materials

You retain all rights to materials you provide to us (logos, content, images, etc.).

Deliverables

Upon full payment, you will own the custom code and designs created specifically for your project. We retain rights to reusable components, frameworks, and tools developed during the project.

Portfolio Rights

Unless otherwise agreed, we may display completed work in our portfolio and marketing materials.

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without consent, except as required by law. We are happy to sign Non-Disclosure Agreements (NDAs) upon request.

7. Warranties and Liability

We provide a 90-day warranty on delivered work for bug fixes related to the original scope. The warranty covers:

• Bugs and defects in code written by AIXILCOILS that affect agreed functionality
• Issues arising from deployment to the agreed hosting environment

The warranty does not cover:

• Changes requested after project completion (these are billed separately)
• Issues caused by third-party services, APIs, or hosting environments outside our control
• Issues caused by client modifications to the delivered code

To the maximum extent permitted by law:

• Services are provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for the specific service

8. Termination

Either party may terminate a project with 14 days written notice. Upon termination, payment is due for all work completed to date, and ownership of completed work transfers upon receipt of payment.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of modified terms.

10. Dispute Resolution

In the event of a dispute arising from these terms or any project agreement:

• Both parties agree to first attempt resolution through good-faith negotiation.
• If negotiation fails, disputes may be referred to mediation before pursuing legal action.
• Legal proceedings shall be filed in the courts of Rivers State, Nigeria.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Contract Law of Rivers State and applicable federal legislation.
